MAS Whistleblower Policy
The Municipal Art Society of New York (“MAS”) is committed to lawful and ethical behavior in all of its activities and requires its Board Directors, officers, employees, and volunteers to conduct themselves in a manner that complies with all applicable laws and regulations and to observe high standards of business and personal ethics in the conduct of their duties and responsibilities. If at any time a concern exists regarding the propriety or legality of any action contemplated to be taken or that has been taken by any MAS Board Director, officer, employee or volunteer as the action relates to MAS activities, or if an action needs to be taken in order for the MAS to be in compliance with law or appropriate ethical standards, an employee can address the issue directly by going to his or her manager or to the next level of management.
Alternatively, if an employee is not comfortable speaking to a manager or does not feel the issue has been properly addressed, such employee may contact the President of MAS. If such employee does not believe that these channels of communication can/should be used to express his or her concerns, such employee may contact the General Counsel of MAS. Any person receiving such report must refer it to the Vice President Finance and Administration of MAS, who is designated to administer the policy. The Vice President Finance and Administration must report the complaint to the Chair of the Audit Committee as soon as possible. All reports will be investigated and handled in a timely and sensitive manner.
Under this policy, those who report illegal or improper activity will be protected. Efforts will be made to treat a report of unethical or illegal conduct as confidential, consistent with the need to investigate and prevent or correct the action. The confidentiality of such reported information will be maintained by channeling the reports directly to the Audit Committee and disclosing information to other Board Directors and employees only as needed to fully investigate the report. The individual making the report will not be discharged, threatened, intimidated, harassed, discriminated against, or have any other adverse employment consequence or retaliation for reporting in good faith what he or she perceives to be wrongdoing, fraudulent, violations of law, violations of any policies of the corporation, or unethical conduct.
